This Licensing Agreement covers the intellectual property rights and usage rules regarding software developed by Vardhak Labs. By engaging with our services, you agree to the conditions regarding code ownership, usage, and distribution outlined below.
1. Custom Software Ownership
For custom digital products (e.g., bespoke SaaS, specialized Chrome Extensions, Custom Web Apps) built specifically for a client, the default agreement grants the Client full, exclusive Intellectual Property (IP) rights and Ownership to the final deliverables and source code upon receipt of full payment, unless otherwise stipulated in the SOW. Vardhak Labs retains no ownership over the client's proprietary business logic.
2. Pre-Existing IP & Frameworks
Vardhak Labs frequently utilizes leading open-source technologies (e.g., React, Next.js) and proprietary internal boilerplate code (the "Pre-existing IP") to accelerate development. The Client is granted a non-exclusive, worldwide, royalty-free, perpetual license to use, modify, and distribute the Pre-existing IP merely as an integrated component of the final deliverable. The Client may not extract the Pre-existing IP to resell as standalone software or templates.
3. SaaS Templates and Components
Any templates, UI kits, or standalone digital assets purchased or downloaded directly from the Vardhak Labs website are subject to a standard commercial license. You may use these assets for unlimited personal and commercial projects. However, you are strictly prohibited from reselling, sublicensing, or distributing the raw templates or assets themselves.
4. Open Source Dependencies
Any open-source software included in our deliverables remains subject to the licenses of their respective creators (e.g., MIT, Apache 2.0). We warrant that we will not introduce code governed by "copyleft" licenses (like GPL) into proprietary client codebases without explicit written consent.
